1. Definitions
- “Acynx” means 9565-6088 Québec inc., a stock corporation incorporated under the Quebec Business Corporations Act (RLRQ S-31.1).
- “Services” means the design and development of custom software solutions provided on subscription.
- “Client” means any natural or legal person subscribing to a plan.
2. Subscription and billing
The subscription starts on the date of first payment and renews automatically each month until pause or termination. Billing is monthly and charged in advance. GST (5%) and QST (9.975%) apply to any invoice for Canadian clients.
3. Pause and termination
The Client may pause or terminate the subscription at any time, without notice or penalty, by emailing hello@acynx.com. No refund is issued for the started portion of the current month; the Client retains access to services until the end of the paid cycle.
4. Requests and deliveries
Depending on the subscribed tier, the Client may submit one (Standard) or two (Pro / Elite) simultaneous requests. The stated lead times (24h, 48h) are in business hours (Monday to Friday, excluding Quebec holidays) unless marked “urgent” under the Elite plan.
5. Intellectual property
Unless otherwise agreed, all deliverables (code, scripts, configurations, documentation) become the exclusive property of the Client upon full payment of the relevant subscription month. Acynx retains the right to use, for portfolio purposes, items made public by the Client, unless expressly opposed.
6. Confidentiality
Acynx undertakes to treat as confidential all technical, commercial, and personal information it accesses in the course of providing the Services. A formal non-disclosure agreement (NDA) can be signed on request, mutual or unilateral.
7. Limitation of liability
Except in cases of gross negligence or wilful misconduct, the total liability of Acynx to the Client is limited to the amount paid by the latter during the three (3) months preceding the occurrence of the damage. Acynx is in no event liable for indirect losses, lost profits, loss of data, or business interruption.
8. Governing law and jurisdiction
These terms are governed by the laws in force in the province of Quebec and applicable Canadian federal laws. Any dispute will be submitted to the exclusive jurisdiction of the courts of Quebec, sitting in the judicial district of Beauharnois.
9. Changes
Acynx reserves the right to modify these terms. Any material change will be notified by email at least 30 days before its entry into force. Continued use of the Services after that period constitutes acceptance.
